Uniper Offloads OPAL Pipeline Stake to Satisfy EU Bailout Mandates

To settle obligations tied to its $53 billion federal rescue, German energy giant Uniper is selling its 20% stake in the OPAL gas pipeline. The company signed a definitive agreement to transfer the asset to Hy24, a private investment firm focused on the hydrogen sector, citing regulatory compliance.

The transaction involves the sale of Lubmin-Brandov Assets GmbH & Co. KG, the holding entity for Uniper's minority interest in the 470-kilometer transmission corridor. The remaining 80% of the pipeline, which connects the German coast to the Czech Republic, is held by GASCADE Gastransport GmbH. Finalization of the deal now hinges on regulatory clearances and the waiver of pre-emption rights by existing partners.

This divestment marks a step in the broader restructuring required by the European Commission following the 2022 nationalization of Uniper. As Germany moves to phase out its 99% ownership of the utility by 2028, the government has explored various exit strategies, including a public offering or a direct sale. Major international players, including Norway’s Equinor, Brookfield Asset Management, and EPH, have reportedly monitored the firm's status as a potential acquisition target. Meanwhile, the OPAL pipeline itself is undergoing a strategic transition, with its northern section integrated into Germany’s hydrogen network in late 2025 and the southern segment slated for similar conversion by 2030.
