TORM plc Expands Share Capital Following RSU Incentive Exercise

Denmark-based shipping firm TORM plc has increased its total share capital by 132,421 Class A shares. The issuance follows the exercise of Restricted Share Units under the company's internal incentive program, adding a nominal value of USD 1,324.21 to the firm’s equity structure as it integrates the new instruments.

The newly issued shares are categorized as ordinary instruments without special rights, granting holders full dividend eligibility upon issuance. The subscription occurred at three distinct price points: 12,406 shares at DKK 111.60, 12,405 shares at DKK 124.20, and 107,610 shares at DKK 179.80. TORM expects these shares to be admitted to trading on Nasdaq Copenhagen shortly.

Following this expansion, the company’s total share capital reaches USD 1,025,536.88, represented by 102,553,688 A-shares with a nominal value of USD 0.01 each. Each share carries a single vote. The capital increase was executed without pre-emption rights for existing shareholders, and the company noted that transfer restrictions may apply in specific international jurisdictions.
