KLX Energy Services Sets September 23 Deadline for $125M Rights Offering

Investors holding rights in KLX Energy Services have until 5:00 p.m. New York City time on September 23, 2026, to participate in the company’s $125 million backstopped rights offering. The window marks the final opportunity for current shareholders to acquire additional common stock at a set subscription price.

Each subscription right allows holders to purchase 3.885 shares of common stock at $1.49 per share. KLX Energy Services has cautioned that those holding shares in brokerage accounts or "street name" may face earlier internal deadlines set by their financial institutions. Investors should confirm specific cutoff times with their brokers to ensure their instructions are processed before the expiration date.

The rights are currently trading on the Nasdaq under the ticker KLXER and will cease trading at the market close on September 23. Participation is subject to ownership caps; excluding backstop parties, no holder may exceed a 9.995% beneficial ownership stake in the company following the exercise of these rights. Any rights not exercised by the deadline will expire worthless.
