Innocan Pharma Secures C$462,477 in Private Placement

Innocan Pharma has finalized the first tranche of its private placement, raising C$462,477 through the sale of 247,314 units. The deal, priced at C$1.87 per unit, provides the Herzliya-based firm with fresh capital for general corporate needs and working capital as it continues its expansion in the pharmaceutical and wellness markets.

Each unit consists of one common share and a purchase warrant allowing the holder to acquire an additional share at C$2.50. These warrants remain valid for three years, though the company retains the right to accelerate the expiry date if the volume-weighted average price of its common shares hits or exceeds C$4.80 for 30 consecutive trading days.

To facilitate the offering, Innocan compensated arm's length finders with a 10% cash fee and issued 8% finder's warrants. The securities issued under this tranche are subject to a standard four-month-and-one-day hold period under Canadian securities regulations. The company, which operates its wellness segment primarily through its 60% owned subsidiary BI Sky Global Ltd., confirmed that these securities are not registered for sale within the United States.
