Clarivate Sets Pricing for $75 Million Senior Secured Notes Buyback

Clarivate Science Holdings Corporation has finalized the pricing terms for its cash tender offer to repurchase a portion of its 3.875% senior secured notes due in 2028. The company capped the aggregate purchase at $75 million, with a total consideration set at $975.15 per $1,000 of principal amount.

The offer, which concludes today, September 23, 2026, at 5:00 p.m. New York City time, relies on a reference yield of 4.864% determined earlier this afternoon. Holders whose notes are accepted for purchase will receive the specified consideration plus any accrued and unpaid interest up to the expected settlement date of September 25, 2026.

Citigroup Global Markets Inc. is managing the dealer operations, while Global Bondholder Services Corporation handles the tender and information requests. If the total volume of validly tendered notes exceeds the $75 million cap, the company will apply a proration process to determine final acceptance. Clarivate maintains the discretion to adjust the tender cap or terminate the offer entirely if stipulated conditions remain unmet by the deadline.
