Each unit includes one Class A ordinary share and a half-warrant, with full warrants exercisable at $11.50 per share. Once the components begin trading separately, shares and warrants will shift to the symbols BRRK and BRRKW. The offering, managed by sole book-runner BTIG, LLC, is expected to close on September 28, 2026.

Bluerock has granted underwriters a 45-day option to purchase an additional 2.25 million units to cover potential over-allotments. As a special purpose acquisition company, Bluerock intends to use the capital to pursue a merger, asset acquisition, or business combination across any industry. The U.S. Securities and Exchange Commission declared the registration statement effective on September 24.
