Sabre Caps Debt Buyback After 2029 Notes Oversubscription

Sabre GLBL Inc. has concluded its cash tender offers for three series of senior secured notes, reaching its $250 million purchase ceiling. Due to high demand for the 10.750% senior secured notes due 2029, the company will reject all tenders for its 2030 series securities and apply proration to the 2029 debt.

The tender offers, which expired on September 24, 2026, saw significant participation from bondholders. Because the aggregate purchase price for the 10.750% notes due 2029 exceeded the predetermined $250 million limit, Sabre GLBL will apply an approximately 84.0% proration factor to those holdings. Consequently, no 10.750% or 11.125% senior secured notes maturing in 2030 will be accepted for purchase.

Payment for the accepted 2029 notes is scheduled for September 28, 2026, pending the satisfaction or waiver of remaining conditions, including financing requirements. BofA Securities served as the dealer manager for the transaction, while D.F. King & Co., Inc. acted as the tender and information agent. Unpurchased securities will be returned to holders following the settlement date.
