Houston-based subsea robotics developer Nauticus Robotics, Inc. has signaled a potential shift in its financial trajectory, announcing a non-binding letter of intent for a $50 million private equity investment. The deal, aimed at fueling the firm's commercial goals, remains in the early stages of board review.

The company, which trades under the ticker KITT, is currently weighing the proposal against its fiduciary obligations. Directors are considering appointing an independent financial advisor to navigate the transaction, which could lead to significant stock dilution or a potential change in corporate control.

Because the agreement is non-binding, the unnamed strategic investor is under no legal obligation to finalize the funding. The path to closing remains contingent on a rigorous due diligence process and the successful negotiation of definitive legal documents.
