Halper Sadeh Launches Investigations into Three Corporate Mergers

Investors in Fulcrum Therapeutics, TriCo Bancshares, and LXP Industrial Trust are facing scrutiny as law firm Halper Sadeh initiates investigations into potential fiduciary breaches. The firm is examining whether proposed merger terms unfairly prioritize insider interests or restrict the possibility of superior bids for everyday shareholders.

The New York-based firm is scrutinizing the merger between Fulcrum Therapeutics and Slate Medicines, which would leave existing shareholders with only 5% of the combined entity. Simultaneously, the firm is reviewing the sale of TriCo Bancshares to First Hawaiian, a transaction structured at an exchange ratio of 2.095 shares, and the $61.20 per share cash acquisition of LXP Industrial Trust by Brookfield Asset Management and the Canada Pension Plan Investment Board.

Halper Sadeh attorneys Daniel Sadeh and Zachary Halper intend to pursue potential litigation to secure increased compensation or enhanced disclosures for investors. The firm operates on a contingent fee basis for these matters, signaling a move to challenge whether the terms of these specific deals align with the long-term financial interests of public shareholders.
