The financing package is split into an immediate $2.36 billion tranche and a secondary $1 billion commitment from NVIDIA, slated for delivery in mid-November 2026. These notes are designed to convert automatically into equity once the company launches its initial public offering. With over $103 billion in total contracted value already on the books, Nscale intends to funnel this liquidity into its vertically integrated infrastructure. This includes everything from behind-the-meter power generation to high-density, liquid-cooled data centers and massive GPU clusters.

LLC served as the placement agent for the transaction. The list of participating investors highlights the intense market appetite for AI-native infrastructure, featuring firms such as Hudson Bay Capital, the Abu Dhabi Investment Council, and 8090 Industries alongside a broad group of institutional asset managers.
