ReTo Eco-Solutions Executes 20-for-1 Reverse Stock Split

Beijing-based ReTo Eco-Solutions is consolidating its Class A shares on a twenty-to-one basis, a strategic maneuver designed to boost the company’s per-share market price. The move, aimed at maintaining compliance with Nasdaq listing requirements, will take effect when trading opens on October 2, 2026.

Following the consolidation, the company’s issued and outstanding Class A shares will contract from 145,814,975 to approximately 7,290,749. Shareholders do not need to take action; the conversion is automatic, and the shares will continue trading on the Nasdaq Capital Market under the ticker symbol RETO. To distinguish the post-split equity, the company has assigned a new CUSIP number, G75271158.

Fractional shares will not be issued, though the company has implemented a rounding provision: shareholders who would have received a fractional share due to a holding not evenly divisible by four will be granted an additional full share. Because the company is incorporated under the laws of the British Virgin Islands, this board-approved consolidation does not require a formal shareholder vote. VStock Transfer, LLC has been appointed as the exchange agent to manage adjustments for those holding physical stock certificates.
