The meeting, set to take place at Setterwalls Advokatbyrå, will see shareholders vote on the replacement of the company's current auditor, Deloitte AB. The Nomination Committee has proposed appointing Ernst & Young AB, citing the need to establish a long-term relationship with a Big Four firm as the company prepares for potential growth and a possible U.S. dual listing by early 2027. Deloitte has served as the company's auditor for a decade, reaching the regulatory limit for audit engagements of public-interest entities.
In addition to the audit shift, the Board of Directors is seeking approval for 'P11,' a new incentive program designed to bolster recruitment and retention of personnel in Sweden, the United States, Scotland, India, and China. The plan includes the issuance of up to 7.28 million stock options, representing roughly 2% of the company's shares after dilution. To facilitate this, the board has requested authorization to issue, repurchase, and transfer Series C shares to secure the necessary equity and cover social security obligations. Shareholders must register by October 14, 2026, to participate, with options available for both in-person attendance and postal voting.
