Corteva Finalizes Debt Exchange Ahead of Corporate Separation

Corteva, Inc. has reached the final results of its debt exchange offers and consent solicitations for EIDP, Inc. notes, securing significant participation across three series of senior notes. The move marks a critical step in the company’s planned split into two independent, publicly traded entities focused on seed and crop protection.

As of the September 30 expiration date, holders of EIDP senior notes have tendered a substantial portion of their holdings for new Vylor Inc. notes. Participation rates reached 86.97% for the 2.300% notes due 2030, 95.24% for the 5.125% notes due 2032, and 87.93% for the 4.800% notes due 2033.

This debt restructuring is a prerequisite for the formal separation of Corteva’s business units, which is expected to occur on or about October 1, 2026. Eligible investors who participated before the early tender deadline will receive a total exchange consideration comprised of new Vylor notes and a cash payment, while those who tendered later receive the exchange consideration without the cash component. Settlement is set to coincide with the completion of the corporate split, pending final satisfaction of all remaining closing conditions.
