Monteverde & Associates Launches Inquiries Into Four Corporate Mergers

Monteverde & Associates PC has initiated formal investigations into four pending corporate transactions, questioning whether the terms offered to shareholders of Synaptics, Capital Bancorp, SoundThinking, and OceanLight Acquisition Corporation adequately reflect the true market value of their holdings.

The New York-based firm, led by attorney Juan Monteverde, is scrutinizing the fairness of the proposed acquisition of Synaptics Incorporated (NASDAQ: SYNA) by ON Semiconductor Corporation, where shareholders are slated to receive $123 per share in cash. Simultaneously, the firm is examining the merger of Capital Bancorp, Inc. (NASDAQ: CBNK) with Peoples Bancorp, Inc., involving an exchange ratio of 1.11 shares of Peoples common stock for each share of Capital.

Investigations also extend to SoundThinking, Inc. (NASDAQ: SSTI) regarding its sale to affiliates of Transom Capital Group. Under these terms, shareholders are set to receive $8.00 per share in cash alongside contingent value rights potentially worth an additional $3.00. Finally, the firm is reviewing the merger between OceanLight Acquisition Corporation (NASDAQ: OCLT) and AIRE Inc., where shareholders would receive one ordinary share of AIRE Global Group Inc. for each share held in OceanLight.
