Innventure Faces Class Action Lawsuit Following DarkNX Project Collapse

A 55% single-day stock plunge on August 14, 2026, has triggered a securities class action against Innventure, Inc. The lawsuit centers on allegations that the company misled investors regarding a massive 300MW data center project in Ontario that critics and internal sources claim never existed.

The litigation targets statements made by Innventure and its executives between November 17, 2025, and August 13, 2026, specifically concerning the company's Accelsius subsidiary and its flagship NeuCool technology. Management had repeatedly touted a deal with DarkNX as a landmark, large-scale industry deployment. However, the narrative shifted on May 28, 2026, when Morpheus Research published a report labeling the venture a fabrication, citing former employees who claimed they had never heard of DarkNX.

Investors saw their holdings evaporate as the stock price dropped 74% between the release of the Morpheus report and the company’s eventual admission in August that the deployment site was unavailable. Innventure subsequently removed the project from its internal bookings and suspended its 2026 revenue guidance. Hagens Berman, the firm leading the investigation, is now seeking to determine whether these disclosures were intentionally deceptive. Reed Kathrein, a partner at the firm, stated that the investigation focuses on whether management recklessly misled shareholders about the project's viability. Investors impacted by these losses have until October 27, 2026, to file as lead plaintiffs.
