The legal action, filed by the firm Robbins LLP, centers on claims that Compass failed to disclose the true nature of its efforts to secure regulatory clearance. According to the complaint, the company’s offering materials falsely asserted that leadership was committed to standard antitrust compliance and possessed all necessary permits for the transaction. In reality, plaintiffs allege that Compass secretly employed lobbyist Mike Davis to bypass standard Department of Justice and Federal Trade Commission reviews. This strategy reportedly aimed to circumvent scrutiny from regulators and lawmakers, including Senators Elizabeth Warren and Ron Wyden, who had previously warned that the merger could stifle competition and disadvantage smaller firms.
As the details surrounding the merger process surfaced, the market reacted negatively. Compass shares saw a sharp decline, closing at $9.19 per share—a drop of more than 28% from the $12.84 price recorded at the time of the exchange. Investors who acquired securities through the merger have until December 7, 2026, to file for lead plaintiff status. Robbins LLP, which is managing the litigation on a contingency fee basis, stated that the case aims to address the lack of transparency provided to shareholders during the acquisition.
