S2 Capital Restructures $1.2 Billion Multifamily Debt Portfolio

Dallas-based investment firm S2 Capital has finalized a massive overhaul of its debt obligations, securing loan modifications and refinancings across 26 multifamily properties. The $1.2 billion transaction, spanning 8,223 units in seven markets, resolves existing defaults and halts foreclosure proceedings on nearly half of the assets involved in the deal.

The restructuring allows the company to extend maturity dates and recalibrate pricing across a portfolio that had faced significant pressure from recent market cycles. Notably, the firm successfully navigated 12 foreclosure proceedings, terminating them in connection with the new agreements. A primary example of this shift is a 531-unit community in North Dallas, where S2 settled a maturity default and extended the loan term to July 2031 following a principal paydown.

CEO Scott Everett attributed the recent financial strain to an influx of new supply rather than a softening in renter demand. With new construction deliveries beginning to taper off, the firm aims to leverage its revised capital structure to stabilize operations. The company is now pivoting toward occupancy growth and resident experience improvements, moving past the six-month negotiation period required to align these assets with a longer recovery timeline.
