Cipher Digital Shares Slide Following $850 Million Note Offering

The offering involves zero-coupon convertible notes due in 2032, with institutional investors holding an option to purchase an additional $150 million in debt. Cipher Digital executives confirmed that proceeds will finance capped call transactions and provide capital for the Barber Lake data center project, a core component of the company’s high-performance computing strategy.

Concurrent with the new debt issuance, the company is moving to exchange a portion of its outstanding 1.75% notes due 2030 for company shares. This latest market movement deepens the stock's annual decline, which now stands at 25% for the year.
