The agreement grants Labcorp control over BioReference Health’s clinical testing operations and more than 80 patient service centers. By integrating these assets, Labcorp intends to scale its specialty testing menu and digital diagnostic tools for providers across the U.S. A central component of the acquisition is the FDA-approved 4Kscore Test, which assesses the probability of aggressive prostate cancer prior to biopsy. Labcorp forecasts that the acquired assets will generate approximately $250 million in revenue during the first year following the close of the transaction.
For OPKO Health, the sale represents a strategic pivot toward its core biopharmaceutical business. Chairman and CEO Phillip Frost noted that the move allows the firm to streamline operations while leveraging Labcorp’s larger network to increase market reach for its proprietary testing technology. The transaction remains subject to standard regulatory approvals and customary closing conditions, with both companies maintaining independent operations until the deal is finalized.
