The lawsuit, filed in the U.S. District Court for the District of Delaware, covers investors who purchased Chemours securities between February 20, 2026, and August 4, 2026. Plaintiffs contend that the company’s leadership reaffirmed 2026 guidance without accounting for significant inventory stockpiling by distributors in 2025. This alleged failure to disclose that sales were pulled forward led to an inflated market perception of aftermarket demand.
The discrepancy triggered a notable market reaction on August 5, 2026, when Chemours shares dropped 18.63% following a reduction in the company's full-year adjusted EBITDA outlook. This decline resulted in a loss of approximately $3.34 per share. Institutional investors and pension funds now have until December 7, 2026, to apply for the role of lead plaintiff. Legal counsel Joseph E. Levi noted that institutional holders who maintained positions through the August disclosure should evaluate their losses to determine if they meet the criteria for lead plaintiff status.
