Verisk originally moved to scrap the purchase of the cloud-based roofing software provider in December. The company cited the Federal Trade Commission’s failure to complete a transaction review by the stipulated December 26 cutoff as the primary justification for the exit. However, the Delaware courts have now twice invalidated that rationale, insisting the contract remains binding despite Verisk’s August protestations that the initial ruling was flawed.
The acquisition, first announced in the summer of 2025, represents a significant expansion for Verisk into the specialized market for roofing contractor project management tools. With the court now mandating that the transaction proceed, the company is left with no legal path to avoid the multibillion-dollar commitment.
