Valero to Purchase Shuttered LyondellBasell Houston Refinery

A $320.5 million acquisition marks a rare industrial pivot: Valero Energy plans to restart the former LyondellBasell refinery on the Houston Ship Channel by 2027. The deal revives a site that shuttered in March 2025, offering Valero a strategic foothold for heavy crude processing and expanded export logistics in the Gulf Coast.

The refinery, which held a 289,000 b/d capacity before its closure, provides Valero with 13.5 million barrels of storage and extensive marine, rail, and truck infrastructure. Valero intends to bring 165,000 b/d of light-sweet crude processing back online within two years. Beyond the restart, the company plans long-term investments in high-complexity, heavy sour crude processing to integrate the site with its existing Gulf Coast network and reduce reliance on third-party feedstock.

While analysts at Tudor, Pickering & Holt describe the valuation as attractive, the path to full operation remains capital-intensive. Estimates suggest that bringing the facility up to Valero’s operational standards could require $3 billion in investment, far exceeding the initial purchase price. Despite these costs, the acquisition is expected to be profitable within its first year of operation. This move contrasts with recent industry trends, as companies like Phillips 66 and Valero itself have shuttered other sites, such as the Benicia refinery, citing challenging market conditions.
