Quantum Computing Inc. Acquires NHanced Semiconductors for $73 Million

Quantum Computing Inc. has finalized its acquisition of NHanced Semiconductors, a deal valued at $73.1 million in cash and stock. The move secures a critical manufacturing footprint, launching the company’s second fabrication facility and shifting its focus from experimental research to scalable commercial production of photonic chips.

The transaction includes an additional performance-based earnout of up to $72 million. By absorbing NHanced, a specialist in 2.5D and 3D heterogeneous integration, the Hoboken-based firm gains the technical infrastructure needed to mass-produce thin-film lithium niobate photonic circuits. This integration follows the company's earlier purchase of Luminar Semiconductor, further consolidating its expertise in laser and detector fabrication.

CEO Yuping Huang stated that the acquisition accelerates the company’s manufacturing timeline by years. While the firm previously relied on its small-scale "Fab 1" facility in Tempe, Arizona, the new assets provide the capacity required to meet growing demand in artificial intelligence, defense, and secure communications. NHanced will function as a wholly owned subsidiary, maintaining its existing client commitments while serving as the engine for the parent company's vertically integrated platform. Bob Patti, CEO of NHanced, noted that the merger allows the combined entity to bridge the gap between niche quantum innovation and high-volume semiconductor supply chains.
