Gates Industrial Shareholders Approve Move to Bermuda

With 99.6% of votes cast in favor, shareholders of Gates Industrial Corporation have greenlit a plan to relocate the company's legal home from England and Wales to Bermuda. The vote concludes a series of meetings held on June 25, marking a significant shift in the manufacturer’s corporate structure.

CEO Ivo Jurek stated the move is designed to provide greater capital and strategic flexibility while trimming administrative overhead and complexity. The company plans to maintain its existing corporate governance standards throughout the transition.

To finalize the relocation, the manufacturer must now secure sanction from a UK court. Gates Industrial expects the change to become effective on July 20, 2026, though the exact date remains contingent on the satisfaction of various regulatory conditions. The company has filed further details regarding the timeline with the Securities and Exchange Commission.
