Baidu Moves Toward Dual-Primary Listing in Hong Kong

Baidu has formally applied to the Hong Kong Stock Exchange to upgrade its secondary listing status to a dual-primary listing. The AI giant expects the transition to conclude before the end of the year, pending final regulatory approval, marking a shift in its global capital market structure.

Upon completion of the conversion, the company will maintain primary listings on both the Hong Kong exchange and the Nasdaq Global Select Market. This move aligns the firm with evolving regulatory requirements and broadens its footprint across both Asian and American financial hubs.

Beyond the listing shift, leadership is preparing a series of corporate governance updates for an upcoming extraordinary general meeting. Investors will vote on a new share repurchase mandate allowing for the buyback of up to 10% of issued shares, alongside an issuance mandate for up to 20% of additional Class A ordinary shares. The board is also pushing to adopt a 2026 Share Incentive Plan and a revised set of governing documents to ensure full compliance with updated Hong Kong listing rules.
