Carrier Divests NORESCO to OPTERRA Energy Services

Carrier Global Corporation has entered a definitive agreement to offload its NORESCO business to OPTERRA Energy Services, a subsidiary of LS Power. The transaction, part of a broader strategy to streamline the company’s portfolio, is expected to finalize in the near term as Carrier pivots toward its core climate and energy operations.

Chairman and CEO David Gitlin framed the divestiture as a move to sharpen the company’s focus on innovation and growth within its primary sectors. While the financial terms of the deal remain undisclosed, the shift signals a departure from the energy-efficiency services provided by NORESCO to prioritize Carrier’s larger, integrated climate solution suites.

Carrier retained Jefferies LLC as its financial advisor for the transaction, with Akerman LLP providing external legal counsel. Following the closure, NORESCO will operate under the umbrella of OPTERRA, an entity backed by investment firm LS Power. This exit follows a period of portfolio evaluation for the Palm Beach Gardens-based manufacturer, which has been systematically shedding non-core assets to concentrate on its temperature control and air quality business lines.
