The complaint alleges that Planet Fitness disseminated materially false information between November 6, 2025, and May 6, 2026. While leadership maintained an optimistic outlook, internal metrics reportedly showed that new marketing campaigns were alienating the company's core demographic of fitness beginners. This disconnect resulted in stagnant growth during the critical first-quarter sign-up period, rendering the company's previously issued fiscal 2026 guidance unattainable.

On May 7, 2026, the company confirmed these struggles, slashing its same-store growth forecast from 5% to 1% and abandoning its three-year growth algorithm entirely. The disclosure forced a sharp market correction, driving shares from $63.96 to $44.01 in a single session. Shareholders who suffered losses during the specified period have until September 14, 2026, to apply for lead plaintiff status in the ongoing action.
