Parsons Corporation Faces Investor Probe Following 35% Stock Plunge

A 35% collapse in Parsons Corporation shares has triggered a securities investigation into the company’s financial disclosures. The probe focuses on whether management misled investors by reaffirming full-year 2026 guidance just three months before issuing a significant downward revision to revenue and EBITDA targets.

The legal inquiry, initiated by the firm Levi & Korsinsky under its SueWallSt brand, centers on statements made by CEO Carey Smith during the company’s first-quarter earnings call on April 29, 2026. At that time, Smith expressed confidence in meeting commitments and reaffirmed the firm's 2026 guidance ranges. By July 29, however, the company filed a Form 8-K disclosing that revenue projections had been slashed by up to $300 million and adjusted EBITDA targets cut by as much as $175 million.

Following the disclosure, Parsons reported a quarterly net loss of approximately $15 million, with adjusted EBITDA falling 72% year-over-year. Management attributed the downturn to federal contract timing, divestitures, and the cancellation of a specific fixed-price program. The investigation seeks to determine if these factors were known to leadership earlier, potentially causing investors to purchase stock at artificially inflated prices. Shareholders who incurred losses are currently being urged to submit transaction records for a case evaluation, as the firm assesses the validity of the company’s prior financial outlooks.
