Resideo Completes ADI Spin-Off to Become Pure-Play Tech Firm

Resideo Technologies has finalized the separation of its ADI Global Distribution unit, a move that recalibrates the company as a pure-play building technologies provider. Shares of the newly independent ADI began regular-way trading today on the New York Stock Exchange under the ticker symbol ADIG, marking a strategic pivot for the Scottsdale-based organization.

The spin-off distributes all outstanding shares of ADI to Resideo shareholders, calculated at one ADI share for every two Resideo shares held as of July 20, 2026. This structural shift is accompanied by a significant deleveraging effort, with Resideo repaying $900 million against its Term Loan B credit facility. The company anticipates an additional $200 million payment by the end of the third fiscal quarter following final post-closing adjustments.

Financial restructuring also extends to the company's preferred equity. Resideo reduced its Series A Cumulative Convertible Participating Preferred Stock by 150,000 shares, leaving 350,000 shares outstanding. CEO Tom Surran stated the transition allows the firm to leverage its 140-year heritage with a more dedicated operational focus, aiming to capture new growth opportunities within the residential control and sensing markets. Resideo continues to trade on the NYSE under its existing REZI ticker, focusing its future performance on the core building technologies business.
