Elbit Systems Shareholders Approve Board Appointments and Indemnities

Shareholders of Israeli defense contractor Elbit Systems gathered in Haifa on August 5, 2026, to solidify the company's governance structure. The assembly resulted in the formal election of seven board members and the renewal of key oversight roles, ensuring continuity for the firm as it manages a $30.2 billion order backlog.

The meeting saw the re-election of Noaz Bar Nir to a three-year term as an External Director, maintaining a consistent regulatory presence on the board. Alongside this, shareholders confirmed seven non-external directors: David Federmann, Ehud Adam, Jacob Bar-Nathan Abudi, Rina Baum, Michael Federmann, Tzipi Livni, and Dov Ninveh. These appointments are effective until the close of the next annual meeting.

Beyond personnel, the company secured approval for administrative extensions regarding its leadership. Indemnification letters for Michael and David Federmann were extended for three years starting December 1, 2026, with related exemption letters set to follow suit in April 2027. Kost, Forer, Gabbay & Kasierer, a member of Ernst & Young Global, was re-appointed as the company’s independent auditor for the 2026 fiscal year.
