Hyperscale Data Sets One-for-Five Reverse Stock Split

Hyperscale Data will execute a one-for-five reverse stock split on August 24, 2026, marking a shift in the company's capital structure. The decision, finalized by a special committee of the board, aims to consolidate shares for all common stockholders following authorization granted during the April 10, 2026, special meeting.

The reverse split becomes effective in Delaware on Monday, August 24, with trading on the NYSE American expected to reflect the adjustment when markets open on Tuesday, August 25. Under the new structure, the company will operate under a new CUSIP number, 09175M 879. While the total number of outstanding shares will decrease, the par value remains fixed at $0.001 per share.

This adjustment applies uniformly to all issued and outstanding common stock, including shares available through equity incentive plans and those underlying existing options or warrants. Computershare Trust Company will manage the exchange process. Investors holding fractional shares will not receive physical stock; instead, they will be issued cash payments. The company maintains that the split does not alter any individual stockholder's percentage interest in the firm's overall equity.
