The lawsuit, filed in the U.S. District Court for the District of New Jersey under the caption Apitz-Grossman v. Embecta Corp., et al., claims that senior executives violated federal securities laws by misrepresenting the company's financial health. While Embecta leadership previously characterized their insulin pen portfolio as resilient with a slight positive trend in prescriptions, the complaint alleges these statements concealed a reality of declining market volume and intensifying competition.

On May 5, 2026, the company’s share price plummeted from $9.25 to $3.90 after Q2 results failed to meet guidance. The report revealed substantial share loss within the pen needle category and a broader downturn in the retail channel. Compounding investor concerns, Embecta slashed its quarterly dividend from $0.15 to $0.01 per share. Shareholders now have until August 17, 2026, to petition the court for lead plaintiff status in the ongoing litigation.
