The legal action centers on the period between December 10, 2025, and May 27, 2026. Investors claim that Photronics executives repeatedly touted robust global order patterns to offset post-holiday seasonality. According to the complaint, these statements ignored severe design release issues caused by elevated fab usage and rising equipment costs.

The facade crumbled on May 28, when the firm disclosed an 11% decline in IC revenue and shrinking margins. Management attributed the shortfall to a failed seasonal recovery and operational hurdles, a stark reversal from previous guidance. This disclosure erased over $1.1 billion in market capitalization in a single session. Reed Kathrein, a partner at Hagens Berman, is currently investigating the timing of management's awareness regarding the deteriorating demand. Shareholders impacted by the decline have until September 4, 2026, to file for lead plaintiff status.
