Investors Face September Deadline in Cogent Communications Class Action

Investors who purchased Cogent Communications Holdings shares between February 2024 and May 2026 have until September 21, 2026, to file lead plaintiff applications in a class action lawsuit. The litigation centers on allegations that the company misled shareholders regarding its optical wavelength backlog and underlying financial health.

The lawsuit, pending in the U.S. District Court for the District of Columbia, alleges that Cogent Communications and its executives failed to disclose critical information during the specified class period. According to the complaint, the company misrepresented demand for its optical services, claiming a backlog that was largely composed of orders unlikely to result in payment. Plaintiffs further contend that these operational failures rendered the company's revenue targets and dividend policy unsustainable.

Beyond these operational claims, the suit highlights concerns regarding CEO David Schaeffer. The filing asserts that the company failed to disclose risks associated with Schaeffer’s high-risk stock pledging activities, which allegedly contributed to a 29% decline in the company's share price once the true nature of the backlog and financial position surfaced. Law firm Kahn Swick & Foti, LLC, which is representing the litigation, is inviting affected investors to discuss their legal rights and potential recovery options before the court-mandated deadline.
