Hain Celestial to Sell International Unit as Losses Narrow

Hain Celestial Group is offloading its international business for $323 million in cash, a move aimed at aggressive debt reduction and portfolio simplification. The announcement arrives alongside fourth-quarter results showing a narrowed loss of $61.9 million, providing a modest lift to investor sentiment following a difficult year for the stock.

The company reported a loss of 68 cents per share for the fourth quarter, a significant improvement from the $3.06 loss recorded during the same period last year. While sales fell 28% to $263.1 million, the drop was largely anticipated due to the earlier divestiture of its North American snacks division. On an adjusted basis, the firm reported a loss of 5 cents per share, missing consensus estimates by two cents.

Chief Executive Alison Lewis characterized the results as evidence of steady progress in cost-containment and productivity initiatives. The proposed sale to private equity firm Aurelius includes key international assets such as the Ella’s Kitchen brand, Hartley’s jelly, and plant-based beverage lines Joya and Natumi. Hain Celestial expects to net between $305 million and $310 million from the transaction, funds earmarked specifically for debt repayment. Finalization of the deal hinges on the company securing an amendment to its existing credit agreement, with negotiations currently underway to extend maturities beyond December 22.
