The litigation targets the period between March 9 and August 5, 2026, stemming from UWM's ill-fated effort to acquire Two Harbors Investment Corp. While the merger agreement dissolved in March when Two Harbors opted for a deal with CrossCountry Mortgage, UWM remained saddled with massive, speculative hedge positions. These positions, intended to protect against interest rate fluctuations, ultimately backfired when the acquisition collapsed.
Management finally acknowledged the fallout on August 6, admitting to a $603 million hedging loss and a $451 million net loss. The disclosure wiped out 38% of the company's total equity and forced a dilutive recapitalization plan that further alienated shareholders. Since the initial merger announcement in December 2025, UWM shares have plummeted approximately 75%. Reed Kathrein, a partner at Hagens Berman, is spearheading the investigation into why the firm maintained these high-risk positions long after the merger prospects had vanished. Affected investors have until October 13, 2026, to file for lead plaintiff status.
