The offering includes units comprised of one share, a redeemable warrant, and a right to receive one-third of a share following a successful business combination. According to Tuesday's Securities and Exchange Commission filing, the company anticipates net proceeds of $147 million. Investors holding the whole warrants will maintain the option to purchase shares at an $11.50 strike price.

Chief Executive John Dicconson leads the firm, bringing his 16-year tenure as head of Tech Care Now Associates to the venture. The leadership team aims to leverage this background to secure a target company within the digital assets, technology, or healthcare industries.
