Max Stock Shareholders Approve New CEO Compensation Package

Shareholders of Israeli retailer Max Stock have voted decisively to approve a revised compensation policy and updated terms for CEO Ori Max. During an extraordinary general meeting held in Caesarea, investors backed the new pay structure, which includes a significant equity-based incentive package valued at ILS 5.25 million.

The approval covers the company’s amended compensation policy for a three-year term starting September 15, 2026. For CEO Ori Max, the updated terms taking effect October 1 include 156,551 unlisted options and 106,502 performance-based restricted stock units. These figures reflect a total fair value of ILS 5.25 million based on valuations from the meeting date.

Voting data shows strong backing for the measures, with 88.35% of participants approving the CEO’s new terms and 86.77% supporting the broader policy changes. Even when excluding controlling shareholders, the proposals maintained solid support levels of 85.62% and 86.77% respectively. The company, which currently operates 65 retail locations across Israel, intends to provide full documentation of these resolutions through its investor relations portal.
