Plaintiffs allege that Rackspace misrepresented its financial health while facing declining revenue in its Public Cloud business as clients increasingly bypassed the firm to contract directly with hyperscale platforms.
The market reaction to these disclosures was swift. On July 9, 2026, Rackspace announced a $150 million reduction in its full-year revenue guidance, citing the need for upfront investments to support its AI transition. Following the announcement, the company's stock price plummeted 33.6%, or $2.21 per share, closing at $4.37.
