CoreWeave Upsizes Debt Offering to $3.7 Billion

Demand for artificial intelligence infrastructure has pushed CoreWeave to expand its latest private debt offering, raising $3.7 billion through convertible senior notes. The figure marks a significant increase from the company’s initial $3 billion target, reflecting aggressive capital acquisition strategies amid the ongoing industry-wide race for high-performance computing power.

CoreWeave Upsizes Debt Offering to $3.7 Billion

The 2.875% notes are slated to mature on April 1, 2033, with interest payments beginning in the spring of 2027. Settlement for the offering is expected to conclude on September 22. Beyond the primary issuance, CoreWeave has provided initial purchasers with an option to acquire an additional $500 million in notes, potentially pushing the total capital injection even higher.

Financial terms stipulate that the notes may be subject to repurchase, redemption, or conversion prior to the 2033 maturity date. This move follows a broader trend of rapid fundraising among GPU cloud providers seeking to scale operations to meet the surging demands of generative AI workloads.
