The complaint, filed in the U.S. District Court for the Western District of Texas, targets a series of events that allegedly concealed the company’s true capital requirements. While AST SpaceMobile repeatedly assured the market that its cash reserves were sufficient to fund operating expenses and satellite development, the suit contends that these representations masked a reliance on aggressive debt financing. Three separate convertible note offerings, each totaling $1 billion, were announced between October 2025 and July 2026, triggering sharp declines in share value.
Investors faced a notable downturn on July 16, 2026, when ASTS shares dropped 17.04%, or $11.30 per share, following the final corrective disclosure of the period. Legal counsel representing the plaintiffs, Joseph E. Levi of Levi & Korsinsky, argues that institutional holders—including pension funds and asset managers—were particularly impacted by the discrepancy between stated liquidity and actual capital needs. Fiduciaries are now tasked with evaluating whether to seek lead plaintiff status to oversee the litigation strategy. Interested parties must file their applications by November 13, 2026, to be considered for a role in the proceedings.
