The complaint filed in the U.S. District Court for the Western District of Texas alleges that Hyliion touted a partnership with VFG Holdings, an entity incorporated just four months prior to the announcement. According to the filing, the company presented a non-binding letter of intent for the deployment of 250 KARNO Cores as a significant business milestone. However, a research report published on June 23, 2026, by Pelican Way Research questioned the commercial viability of the arrangement, citing the partner's lack of funding history and minimal staffing.
Following the public scrutiny of the partnership, Hyliion shares experienced a sharp decline. The stock dropped from $7.37 on June 22 to $4.92 on June 24, representing a loss of approximately 33.24% over two trading sessions. The lawsuit claims that investors were denied material information regarding VFG’s actual operational capabilities and financial resources during the window when the partnership was promoted to the market. Shareholders seeking to participate in the litigation have until October 27, 2026, to file for lead plaintiff status.
