Law Firm Scrutinizes Four Corporate Deals for Potential Shareholder Harm

New York-based investor rights firm Halper Sadeh LLC has launched investigations into four separate corporate transactions, alleging potential breaches of fiduciary duty. The firm is examining whether the proposed terms for Baldwin Group, PTC, Fulcrum Therapeutics, and Priority Technology Holdings prioritize insider interests over those of ordinary shareholders.

The legal inquiries center on whether these deals adequately compensate investors or unfairly restrict superior competing offers. For Baldwin Group (BWIN), the firm is reviewing the $32.50 cash-per-share sale to Sequence Holdings and DFO Management. Simultaneously, the $205.00 cash-per-share acquisition of PTC Inc. by Schneider Electric is under scrutiny.

Investigations also extend to the merger between Fulcrum Therapeutics (FULC) and Slate Medicines, where Fulcrum shareholders are slated to retain only 5% of the combined entity. Finally, the firm is questioning the $8.05 cash-per-share buyout of Priority Technology Holdings (PRTH), which is being led by the company’s own Chairman and CEO, Thomas Priore. Halper Sadeh LLC indicates it may seek increased financial consideration or further disclosures for investors affected by these transactions.
