The transaction requires Reevemark to hit ambitious financial targets, specifically 35% compound annual profit growth through 2031, to trigger the full earn-out. PPHC Chief Executive Stewart Hall expects the move to be immediately accretive to earnings, integrating the firm as a standalone business within the company's existing TrailRunner International group.
Funding for the purchase stems from a new $105 million senior secured credit facility, which also serves to refinance existing debt. This structure comprises a $65 million term loan and a $40 million revolving credit line. Plans are already underway to expand this facility to $150 million through further lender commitments by January, potentially adding a $50 million accordion option. Hall noted that the acquisition cements the company's status in high-stakes arenas including shareholder activism and corporate restructuring.
