With shareholder votes looming, attorney Juan Monteverde is scrutinizing the terms of four high-profile corporate mergers. His New York-based firm, Monteverde & Associates, has opened formal investigations into Dominion Energy, NextEra Energy, Leggett & Platt, and LivePerson, citing potential concerns regarding the fairness of the proposed equity exchanges and sale valuations.

The firm is targeting the upcoming September 3, 2026, votes for the Dominion Energy and NextEra Energy deal, where Dominion shareholders stand to receive 0.8138 shares of NextEra for each share held. Upon completion, NextEra investors are projected to control approximately 74.5% of the combined entity. Monteverde’s team is also evaluating the Leggett & Platt sale to Somnigroup International, which involves an exchange ratio of 0.1455 shares of Somnigroup stock per Leggett & Platt share, with a vote set for August 20, 2026. Additionally, the firm is investigating the $43 million equity sale of LivePerson to SoundHound AI, scheduled for a shareholder vote on the same August date.

Monteverde, whose firm is based in the Empire State Building, frames these inquiries as an effort to ensure corporate accountability during transition periods. The firm encourages shareholders with concerns regarding these transactions to contact their offices for a review of the merger terms. These investigations serve as a reminder to investors that legal counsel often scrutinizes the technical details of M&A agreements to determine if fiduciary duties were upheld during the negotiation process.
