The inquiry centers on potential breaches of fiduciary duty by the CBIZ board of directors. Attorneys are scrutinizing the transaction agreement, specifically citing "no-shop" provisions that impose heavy financial penalties on CBIZ should the company pursue superior competing bids. Legal representatives argue these constraints may unfairly limit shareholder returns and prioritize the interests of company insiders, who are set to receive significant benefits from the change-in-control arrangements.

Ademi LLP is currently soliciting input from investors to determine if the board failed to secure a fair price during the negotiations. The firm, which specializes in buyout and merger litigation, maintains that the current deal structure restricts the competitive bidding process, potentially suppressing the final value realized by public stakeholders.
