Couche-Tard Stakes $8.7 Billion on Polish Retailer Zabka

After a high-profile collapse of its bid for the owner of 7-Eleven, Canadian convenience giant Alimentation Couche-Tard has pivoted to Europe. The company announced plans to acquire the Polish retail chain Zabka for $8.72 billion, securing immediate backing from major shareholders for its largest acquisition to date.

The deal involves a voluntary tender offer at 32 zlotys per share, representing a 9.4% premium over Zabka's previous closing price. With commitments from investors representing 57% of the company's capital, including CVC Capital and Partners Group, the transaction signals a strategic shift to bolster the Canadian firm's footprint in Central and Eastern Europe. Upon completion, the combined entity will manage approximately 30,300 stores, with Europe accounting for 60% of the company's total retail presence.

Couche-Tard executive Alex Miller confirmed that the Zabka brand will remain intact and the current franchise model will see no immediate changes. The acquisition aims to generate $250 million in annual synergies within three years. While the company intends to delist Zabka should its stake exceed 95%, the Polish operator will maintain operational autonomy under its current leadership. The deal, which follows failed negotiations between Zabka and Seven & I earlier this month, is scheduled to close by December 2026.
