The scrutiny follows a turbulent July 30 earnings call where Alignment Healthcare management revealed a aggressive reinvestment strategy, signaling that only 30 percent of its adjusted EBITDA would materialize in the second half of 2026. This downward shift in near-term earnings expectations sparked an immediate sell-off, leaving investors to grapple with the company’s pivot away from short-term profitability.

Beyond the earnings miss, the investigation centers on testimony from a former chief transformation officer who served at the firm between 2019 and 2025. The whistleblower claims that internal controls were bypassed to misclassify expenses, a practice allegedly designed to artificially boost key performance metrics. Reed Kathrein, the Hagens Berman partner heading the inquiry, stated that the firm is evaluating whether the company systematically misled shareholders regarding its true financial trajectory and internal health.
