Monteverde & Associates Launches Merger Probes into Four Companies

Shareholders of Crinetics Pharmaceuticals, PSB Holdings, Utz Brands, and Twin Vee PowerCats are facing high-stakes merger votes, triggering a fresh wave of scrutiny from New York-based Monteverde & Associates PC. The firm is evaluating whether these pending transactions adequately protect investor interests ahead of critical upcoming deadlines.

The investigation centers on the fairness of current acquisition terms offered to shareholders. For Crinetics Pharmaceuticals, investors are slated to receive $85.00 per share in cash, with a shareholder vote set for August 28, 2026. Meanwhile, PSB Holdings shareholders are expected to receive 0.3470 shares of Bank First common stock per share held, with their vote scheduled for September 2, 2026.

The firm is also reviewing the sale of Utz Brands to Intersnack Group, which promises $14.25 per share in cash, and the merger between Twin Vee PowerCats and USFM Corporation. Juan Monteverde, lead attorney at the firm, encourages investors to examine the legal standing of these deals to ensure directors and officers have met their fiduciary obligations. The law firm, based in the Empire State Building, maintains that past recoveries for shareholders serve as a benchmark for its ongoing litigation efforts in trial and appellate courts.
