Investors File Class Action Against Microvast Over Alleged Deception

A class action lawsuit filed in the Southern District of Texas accuses Microvast Holdings, Inc. and its officers of misleading investors regarding production timelines and profit margins. The litigation, docketed under 26-cv-05804, seeks recovery for losses incurred by shareholders who purchased company securities between April 1, 2025, and March 16, 2026.

The complaint alleges that Microvast executives made material misrepresentations about the company's business health while experiencing persistent instability in its leadership. Specifically, the suit highlights the frequent turnover of the Chief Financial Officer position, which saw four different individuals occupy the role over a three-year span. Investors claim the company falsely touted the "Huzhou Phase 3.2" manufacturing expansion, promising it would be operational by the end of 2025, while simultaneously projecting improved margins through a strategic pivot to higher-value market segments.

The market’s confidence eroded following a series of disclosures. In June 2025, a report by Grizzly Research alleged that Microvast fabricated business capabilities and overstated activity at its facilities, triggering a 10.23% drop in stock price. Further volatility followed the sudden departure of CFO Pat T. Schultz in August 2025 and subsequent revelations that the Huzhou expansion was delayed. The final blow to investor sentiment arrived in March 2026, when the company reported that gross margins had collapsed to 1% from 36% the previous year, missing revenue estimates by nearly $40 million. Shares fell 34.2% on the news.

Pomerantz LLP, representing the class, has set a September 21, 2026, deadline for investors to apply for lead plaintiff status. The firm contends that these failures were the result of systemic inventory management issues and unaddressed delays in customer vehicle rollouts that were hidden from shareholders during the class period.
